ImageVerifier Terms of Service

1. Purpose and Scope

These Terms of Service (“Terms”) govern your access to and use of the ImageVerifier.com website and any related software, APIs (Application Programming Interface) and services (the “Service”) provided by Axiom Services, Inc., doing business as ImageVerifier Corporation (“ImageVerifier”).

2. Acceptance of Terms

These Terms constitute a legally binding agreement between you and ImageVerifier. Your use of the Service constitutes your acceptance of these Terms and any modifications made to them, and continued use of the Service after such modifications constitutes your acceptance of the revised Terms. By accessing or using the Service, you acknowledge that you have read, understood and agree to be bound by these Terms. Your continued use of the Service following the posting of any revised Terms constitutes your irrevocable acceptance of such modifications.

3. Description of Service

ImageVerifier is an automated SaaS (Software-as-a-Software) platform providing image analysis and data matching for informational purposes. ImageVerifier is not a law firm and does not provide legal advice, legal opinions or a guarantee of non-infringement. The reports generated are based on automated algorithms and third-party data; they are not a substitute for professional legal counsel. Use of the Service does not create an attorney-client relationship.

4. Eligibility and Account Registration

You must be at least eighteen (18) years old and have the legal capacity and authority to enter into these Terms to access the Service. You represent and warrant that you are not located in a country subject to a U.S. Government embargo or listed on any U.S. Government list of prohibited or restricted parties, including the OFAC (Office of Foreign Assets Control) Specially Designated Nationals list. You are solely responsible for maintaining the security of your account credentials and for all activities occurring under your account. You agree to immediately notify ImageVerifier of any unauthorized use and to indemnify ImageVerifier for any losses arising from a breach of your account security. If registering for a legal entity, you represent that you have the authority to bind that entity. ImageVerifier reserves the right to suspend or terminate your account at any time, with or without notice, for any violation of these Terms or applicable law.

5. Use of Service

Subject to your continued compliance with these Terms, ImageVerifier grants you a limited, non-exclusive and non-transferable right to access the Service solely for your internal business operations or personal non-commercial purposes. This right is provided as a service; no ownership or proprietary rights in the Service, its underlying software or its generated data are conveyed to you.

You may not, directly or indirectly:

Use the Service for any unlawful, fraudulent or unauthorized purpose.
Access or attempt to access the Service, related systems, networks or data without authorization.
Gain or attempt to gain unauthorized access to other user accounts or systems.
Reselling, distribute, lease or otherwise make the Service available to any third party without prior written consent.
Submit any website or domain for analysis without proper ownership or authorization.
Interfere with the integrity, security or performance of the Service.
Introduce malware, viruses, worms or other harmful code that may compromise, disrupt or interfere with the Service, its infrastructure or other users.
Use the Service to create a competitive product, or for the purpose of monitoring its availability, performance or functionality for competitive benchmarking.
Use any “scraper” or other automated means to extract data for any purpose without express written permission.
Attempt to reverse engineer, decompile or derive the underlying algorithms or source code of the Service.

6. Website Verification and Analysis

To submit a website or domain for analysis, you represent and warrant that you are the lawful owner or are fully authorized to act on behalf of the website or domain submitted. Any unauthorized, false or misleading submission constitutes a material breach of these Terms. You agree to indemnify and hold ImageVerifier harmless from any third-party claims arising from your unauthorized submission of a domain or website.

The Service provides automated image analysis and copyright-related information based on available data and third-party sources for informational purposes only. ImageVerifier does not guarantee the completeness, accuracy or legal conclusiveness of any analysis. Reports generated by the Service are not definitive legal determinations and should not be relied upon as such. Reports generated by the Service are not legal advice, do not create an attorney-client relationship or any other kind of relationship between the parties and are not definitive legal determinations.

The Service may integrate with or rely on third-party platforms or content providers. ImageVerifier does not control and is not responsible for third-party services, content, databases or practices, which are governed by the applicable third-party terms and policies. Your use of any third-party integration is at your own risk and subject to the applicable third-party terms.

7. Payment Terms and Credits

The Service operates on a prepaid credit-based model. Certain features require the purchase of credits in advance. All credits are non-refundable and non-transferable unless otherwise required by law. ImageVerifier reserves the right to cancel any credits or accounts associated with fraudulent payments or chargebacks.

By submitting payment information, you authorize ImageVerifier to charge the applicable fees through a third-party payment processor. ImageVerifier does not store full payment card information on its systems and disclaims all liability for any data breaches or errors originating from third-party payment platforms.

Pricing and fees are displayed on the Service and may be modified at ImageVerifier’s discretion. Any changes will not affect credits or services already purchased. Unless otherwise stated, all fees are denominated in United States Dollars (USD).

8. Privacy and Data Protection

Your privacy is important to us. All collection, use, disclosure and processing of personal data through the Service are governed by our Privacy Policy, which is incorporated into these Terms by reference. By accessing or using the Service, you acknowledge that you have read, understood and agreed to the practices described in the Privacy Policy.

While we maintain commercially reasonable security measures to protect user data, you acknowledge that no method of transmission or storage is completely secure and ImageVerifier disclaims all liability for unauthorized access to your information.

9. Intellectual Property Rights and User Content

All intellectual property rights in the Service, including all software, content, design and underlying technology, are and shall remain the exclusive property of ImageVerifier and/or its licensors. No rights are granted to you other than the limited right to use the Service in accordance with these Terms.

You retain all ownership rights in any content you upload, submit or transmit through the Service (“User Content”). By submitting User Content, you grant ImageVerifier a limited, non-exclusive and royalty-free worldwide license to host, store, reproduce and process such User Content solely as necessary to operate and maintain the Service. This license does not transfer ownership of your User Content to ImageVerifier.

You grant ImageVerifier a perpetual, irrevocable and royalty-free worldwide license to use de-identified, anonymized and aggregated data and metadata derived from your usage. This license is granted solely to improve, train and enhance our automated analysis algorithms and machine learning models.

10. Disclaimers and Warranties

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether expressed or implied. ImageVerifier does not guarantee uninterrupted availability of the Service, that the Service will be error-free or that any results or outputs will be accurate, reliable or complete.

The Service provides informational analysis only and does not constitute legal advice. ImageVerifier does not provide legal counsel. You should consult a qualified attorney regarding any copyright, licensing or compliance determinations.

The Service may include or rely on third-party content or services. ImageVerifier makes no representations or warranties regarding such third-party materials and disclaims all liability arising from their use, which is governed by the applicable third-party terms.

ImageVerifier shall not be liable for any failure or delay in performance caused by a force majeure event or other circumstances beyond its reasonable control.

11. Limitation of Liability

To the fullest extent permitted by law, ImageVerifier and its affiliates, officers, directors, employees and service providers shall not be liable for any indirect, incidental, consequential, special or punitive damages. This includes loss of profits, data, use, goodwill or business interruption arising from your use of, or inability to access or use, the Service, regardless of the legal theory and whether or not ImageVerifier has been advised of the possibility of such damages.

You agree to indemnify, defend and hold harmless ImageVerifier and its licensors and affiliates from and against any claims, demands and expenses (including reasonable attorneys’ fees) arising out of or relating to: (i) your use of the Service; (ii) your breach of these Terms; or (iii) your violation of any applicable law or third-party right.

ImageVerifier reserves the right to assume the exclusive defense of any matter subject to indemnification and you agree to cooperate in such defense.

ImageVerifier’s total aggregate liability for all claims relating to these Terms or the Service shall not exceed the total fees paid by you to ImageVerifier in the twelve (12) months preceding the event giving rise to the claim.

12. Termination

Termination by You
You may terminate your account and discontinue use of the Service at any time by contacting ImageVerifier through the designated support channel. Upon termination, your right to access the Service will immediately cease and your account may be deactivated or deleted.

Termination by Us
ImageVerifier may, in its sole discretion and without prior notice or liability, suspend or terminate your account or access to the Service at any time. This includes termination for violation of these Terms, suspected unlawful or abusive conduct, or as required by law.

Effect of Termination
Upon termination for any reason, all rights and licenses granted to you under these Terms will immediately cease. Provisions which by their nature should survive termination shall remain in full effect. This includes all terms relating to intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution.

13. Governing Law

These Terms are governed by the laws of the State of Florida, USA.

14. Resolution of Civil Disputes

Domestic Disputes (U.S. Based)
If you are an entity organized under the laws of the United States (or any State thereof) or maintain principal place of business within the United States, any dispute shall be resolved exclusively through litigation in the state courts of Pinellas County, Florida, or the nearest federal court.

International Disputes (Outside U.S. or International Usage)
If you are an entity organized under the laws of a jurisdiction outside the United States and maintain your principal place of business outside the United States, any dispute (except for claims seeking injunctive relief), shall be resolved exclusively through binding arbitration administered by the American Arbitration Association in accordance with its International Arbitration Rules.

The seat of arbitration shall be Pinellas County, Florida, United States. The arbitration shall be conducted in English and the award shall be final and enforceable in any court of competent jurisdiction.

Injunctive Relief
Nothing in this Agreement prevents either party from seeking injunctive or other equitable relief in a court of competent jurisdiction to protect its confidential information, intellectual property or other proprietary rights without the necessity of posting a bond.

Attorneys’ Fees
In the event of a breach of these Terms or the need for a Party to enforce them, the non-prevailing Party will be responsible for the prevailing Party’s reasonable attorney’s fees, costs and necessary disbursements.

15. Changes and Modification to Terms

ImageVerifier reserves the right to modify or update these Terms at any time without prior notice. Material changes will be communicated by posting the revised Terms on the website with an updated “Last Updated” date. Your continued access to or use of the Service following such posting constitutes your irrevocable acceptance of the revised Terms. If you do not agree to the modified Terms, you must cease all use of the Service immediately.

16. Beta Software and Experimental Features

ImageVerifier may make certain beta early-access features available for evaluation. These features are for evaluation purposes only and are not intended for critical or production use. ImageVerifier reserves the right to modify, suspend or discontinue any beta feature at any time without liability.

17. Severability

If any provision of these Terms is found by a court or arbitrator to be invalid or unenforceable, the parties agree that the court or arbitrator should modify that provision to the minimum extent necessary to make it enforceable. The remaining portions of these Terms will remain in full force and effect.

18. Interpretation of Headings

The headings and subtitles in these Terms are for convenience only and do not limit the scope or interpretation of any provision.

19. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by ImageVerifier, constitute the entire agreement between you and ImageVerifier regarding the Service. This Agreement supersedes all prior or contemporaneous communications, proposals and agreements whether electronic, oral or written, between you and ImageVerifier.
